Abstract: งานวิจัยนี้มีวัตถุประสงค์เพื่อศึกษาปัจจัยการกำกับดูแลกิจการ ซึ่งประกอบด้วย สัดส่วนการถือครองหุ้นสามัญของผู้ถือหุ้นรายย่อยต่อจำนวนผู้ถือหุ้นทั้งหมด อัตราส่วนหนี้สินต่อทุน สัดส่วนจำนวนกรรมการอิสระต่อจำนวนกรรมการทั้งหมด และจำนวนกรรมการในคณะกรรมการบริษัทที่มีผลต่อผลการดำเนินงานของบริษัทจดทะเบียนในตลาดหลักทรัพย์แห่งประเทศไทย ซึ่งใช้อัตราผลตอบแทนต่อส่วนของผู้ถือหุ้นเป็นตัวชี้วัด โดยเก็บรวบรวมข้อมูลทุติยภูมิของบริษัทจดทะเบียนจากรายงานประจำปีของบริษัท แบบรายงานข้อมูลประจำปี (แบบ 56-1) หนังสือนัดประชุมและรายงานการประชุมผู้ถือหุ้น เว็บไซต์ของบริษัทจดทะเบียน และข้อมูลเกี่ยวกับบริษัทที่เผยแพร่ผ่านสำนักงานคณะกรรมการกำกับหลักทรัพย์และตลาดหลักทรัพย์ และตลาดหลักทรัพย์แห่งประเทศไทย ตลอดจนระบบฐานข้อมูลเซ็ทสมาร์ทของตลาดหลักทรัพย์แห่งประเทศไทย ช่วงระยะเวลาระหว่างไตรมาสที่ 1 ปี พ.ศ. 2547 ถึงไตรมาสที่ 3 ปี พ.ศ. 2555 ข้อมูลทั้งหมดได้นำมาวิเคราะห์โดยใช้สถิติเชิงพรรณนา และวิเคราะห์โดยใช้สถิติเชิงอนุมานด้วยการวิเคราะห์สมการถดถอยแบบพหุคูณ ผลการศึกษาพบว่า อัตราผลตอบแทนต่อส่วนของผู้ถือหุ้นมีความสัมพันธ์เชิงลบกับอัตราส่วนหนี้สินต่อทุน ในทางตรงกันข้าม อัตราผลตอบแทนต่อส่วนของผู้ถือหุ้นมีความสัมพันธ์เชิงบวกกับสัดส่วนจำนวนกรรมการอิสระต่อจำนวนกรรมการทั้งหมด อย่างมีนัยสำคัญทางสถิติ
This research aims to study the relationship between corporate governance variables and the firm performance of listed companies on the Stock Exchange of Thailand, which is measured by the return on equity (ROE). The corporate governance variables include the proportion of ordinary shares of the minority shareholders to the total number of shareholders, debt-to-equity ratio, and proportion of independent directors to the total membership of the board of directors. The secondary data are collected from annual reports of listed companies, the 56-1 report, website of listed companies, the Securities and Exchange Commission and the Stock Exchange of Thailand, and the SETSMART database. The period of study is from the first quarter of 2004 to the third quarter of 2012. Data are analyzed using descriptive statistics and inferential statistical analysis with a multiple regression analysis. The results indicate that the return on equity is negatively correlated with the debt-to-equity ratio, but positively correlated with proportion of independent directors to the total membership of the board of directors.
