Abstract: เนื่องจากโดยธรรมชาติของผู้สร้างสรรค์งานดนตรีกรรมนั้น ล้วนเป็นบุคคลที่มีความคิด มีจินตนาการในการสร้างสรรค์คำร้องท่วงทำนองต่าง ๆ แต่ขาดความรู้ความเข้าใจในด้านการดำเนินธุรกิจในวงการเพลง จึงจำเป็นต้องอาศัยผู้ประกอบธุรกิจค่ายเพลงซึ่งมีความรู้ความเข้าใจในการดำเนินธุรกิจในวงการเพลงเป็นอย่างดีเพื่อเป็นประตูบานใหญ่ที่จะนำผลงานเพลงของตนออกสู่ท้องตลาด จากความจำเป็นดังกล่าวนี้เอง ทำให้ผู้ประกอบธุรกิจค่ายเพลงอาศัยความจำเป็นนี้ในการต่อรองกับผู้สร้างสรรค์งานดนตรีกรรม ทำให้เกิดความไม่เสมอภาคในการเข้าทำสัญญาลิขสิทธิ์ระหว่างผู้ประกอบธุรกิจค่ายเพลงกับผู้สร้างสรรค์งานดนตรีกรรม ผู้ศึกษาจึงได้ทำการศึกษาถึงปัญหาการทำสัญญาลิขสิทธิ์ระหว่างผู้ประกอบธุรกิจค่ายเพลงกับผู้สร้างสรรค์งานดนตรีกรรม โดยศึกษากฎหมายลิขสิทธิ์ของไทยว่ามีมาตรการให้ความคุ้มครองปัญหาการทำสัญญาลิขสิทธิ์ระหว่างผู้ประกอบธุรกิจค่ายเพลงกับผู้สร้างสรรค์งานดนตรีกรรมอย่างไร อีกทั้ง ทฤษฎีในทางกฎหมายที่เกี่ยวกับการเข้าทำสัญญา และการให้ความคุ้มครองลิขสิทธิ์ในงานดนตรีกรรมตามกฎหมายระหว่างประเทศ ตลอดจนศึกษาถึงกฎหมายลิขสิทธิ์ของประเทศสหรัฐอเมริกา เพื่อเป็นการแสวงหาและนำเสนอแนวทางในการแก้ไขกฎหมายลิขสิทธิ์ไทยในการจัดการปัญหาการทำสัญญาลิขสิทธิ์ระหว่างผู้ประกอบธุรกิจค่ายเพลงกับผู้สร้างสรรค์งานดนตรีกรรมนั่นเอง จากการศึกษามาตรการทางกฎหมายเกี่ยวกับการทำสัญญาลิขสิทธิ์ระหว่างผู้ประกอบธุรกิจค่ายเพลงกับผู้สร้างสรรค์งานดนตรีกรรมภายใต้พระราชบัญญัติลิขสิทธิ์ พ.ศ. 2537 พบว่า พระราชบัญญัติลิขสิทธิ์ พ.ศ. 2537 มิได้มีมาตรการทางกฎหมายใดจะแก้ไขหรือเยียวยาความเสียหายที่เกิดจากปัญหาการทำสัญญาลิขสิทธิ์ระหว่างผู้ประกอบธุรกิจค่ายเพลงและผู้สร้างสรรค์งานดนตรีกรรม การเข้าทำสัญญาลิขสิทธิ์ภายใต้พระราชบัญญัติดังกล่าวเป็นไปตามหลักความศักดิ์สิทธิ์ของการแสดงเจตนาและหลักเสรีภาพในการเข้าทำสัญญาอย่างเคร่งครัด อาทิ มาตรการการได้มาซึ่งงานอันมีลิขสิทธิ์ มาตรการเกี่ยวกับการอนุญาตให้ใช้สิทธิและการโอนลิขสิทธิ์ ส่งผลทำให้ผู้ประกอบธุรกิจค่ายเพลงอาศัยหลักการดังกล่าวในการผูกขาดความเป็นเจ้าของลิขสิทธิ์ในงานดนตรีกรรมของผู้สร้างสรรค์ และใช้สิทธิในลักษณะที่เป็นการกีดกันมิให้สาธารณชนเข้าถึงงานดนตรีกรรมเกินสมควร ทั้งนี้ จากการศึกษาถึงหลักการ Termination of Transfers and Licenses Granted by the Author ภายใต้ Copyright Law of the United States of America and Related Laws Contained in Title 17 of the United States Code พบว่า มาตรา 203 ภายใต้หลักการดังกล่าว เหมาะสมสำหรับการแก้ไขปัญหาการทำสัญญาลิขสิทธิ์ระหว่างผู้ประกอบธุรกิจค่ายเพลงกับผู้สร้างสรรค์งานดนตรีกรรม เนื่องจากมิได้เป็นมาตรการทางกฎหมายที่กระทบต่อหลักความศักดิ์สิทธิ์ของการแสดงเจตนาและหลักเสรีภาพในการเข้าทำสัญญาของคู่สัญญาที่กฎหมายลิขสิทธิ์ให้การรับรองและคุ้มครองไว้มากเกินสมควร แต่อย่างไรก็ดี การนำมาปรับปรุงแก้ไขพระราชบัญญัติลิขสิทธิ์ พ.ศ. 2537 มีรายละเอียดหลายประการที่ต้องปรับใช้ให้เกิดความเหมาะสม เช่น ขอบเขตของสิทธิ เงื่อนไขและเงื่อนเวลาของการใช้สิทธิ เป็นต้น
Since producers of musical works naturally are persons who have imagination and creation of all lyrics and tempo but lack for knowledge and understanding of the world of music business. It is necessary for them to rely on record company that has knowledge and understanding in such area as a giant gate way where their products are launched to the market. From such necessity, it causes record companies to take this opportunity to negotiate with producer of musical works with unfair copyright contract for producers of musical works. Therefore, this research will be focus on problems of copyright contract between record company and producer of musical works under copyright law of Thailand whether there are any measures to protect such problems. It also includes the study on legal theories relating to binding contract, protection of musical works under international and American and copyright laws. In order to inspect and present means to amend Thai copyright law to resolve such unfair contract caused by record companies. From this study, it appears that there is no any legal measure under Copyright Act B.E. 2537 to resolve or redress damage occurred by problems on contract between record companies and producers of business works. Contract made under such Act shall be strictly based on the doctrine of freedom of contract and autonomy of will such as measures of acquisition to copyright works, permission for using copyright works and copyright transfer. Thus, record companies are able to take advantages from these principles to have a monopoly as the owners of copyright in musical works created by producer and likely uses the rights to prevent public to access to musical works with beyond reasonable prevention. It also appears that Section 203 on the principles of termination of transfers and licenses granted by the authors under the American copyright law and related laws contained in Title 17 of the American Code is proper to apply in order to resolve problems on contract between record companies and producer of business works because it is a legal measure which is not much impact the doctrines of freedom of contract and autonomy of will be guaranteed and protected under copyright law. However, there are many details in such Section that have to be revised for proper enforcement The amendment of copyright Act B.E. 2537 by using such Section as a model law, such as limitation of rights, conditions of rights and time clause for using copyright, etc. must be carefully designed for balancing the rights between the record companies and the producers.
