Abstract: งานวิจัยนี้มีวัตถุประสงค์เพื่อศึกษาธุรกิจธนาคารเงาซึ่งเป็นธุรกิจทางการเงินรูปแบบหนึ่งที่มีความเสี่ยงและสามารถสร้างความเสียหายในระบบการเงินได้อย่างมาก โดยแนวทางการศึกษาจะเป็นการศึกษาเปรียบเทียบกับการประกอบธุรกิจที่เกี่ยวข้องกับการเงินในประเทศไทยไม่ว่าจะเป็นธุรกิจสถาบันการเงิน หรือธุรกิจทางการเงินที่ไม่ใช่สถาบันการเงิน ว่ามีลักษณะการประกอบธุรกิจอย่างไรเพื่อให้ทราบความแตกต่างอย่างเป็นรูปธรรม ทั้งยังศึกษาถึงธนาคารเงาที่เกิดขึ้นในระบบเศรษฐกิจของต่างประเทศโดยยกเอากรณีศึกษาจากประเทศสหรัฐอเมริกาและประเทศจีนซึ่งเป็นมหาอำนาจทางเศรษฐกิจเพื่อหาว่าธนาคารเงาสามารถก่อให้เกิดผลเสียในระบบการเงินได้มากเพียงใดและยังก่อให้เกิดความเสี่ยงในด้านใดบ้าง และเมื่อทราบถึงความเสี่ยงในด้านต่าง ๆ แล้วก็จะนำเอาองค์ความรู้นั้นมาปรับกับกฎหมายภายในประเทศว่าจะสามารถควบคุมธุรกิจธนาคารเงาได้มากน้อยเพียงใดและเพียงพอหรือไม่โดยนำเอาแนวทางการควบคุมธุรกิจธนาคารเงาในระดับสากลซึ่งเป็นแนวทางของคณะกรรมการรักษาเสถียรภาพทางการเงิน (Financial Stability Board: FSB) ที่ได้ติดตามและศึกษาเกี่ยวกับธนาคารเงามาก่อนนี้แล้ว ซึ่งจะศึกษาแนวทางการควบคุมธนาคารเงาในระดับสากลเพื่อมาปรับใช้โดยพัฒนากฎหมายในประเทศเพื่อให้สามารถควบคุมธุรกิจธนาคารเงาได้อย่างมีประสิทธิภาพ
The objective of this research is to study law and regulations in relation to shadow banking business. This financial business model can made damage to one country’s financial system significantly. This study is comprehend and compare laws and regulations regarding financial institutions and non-bank financial institutions between the American, Chinese and Thai laws and regulations. In doing so, this study will highlight on case study from the United States of America and China, and demonstrate to the extent of how this shadow banking business can adversely affect one’s financial system. Therefore, this study can contribute the knowledge to Thailand on how to regulate shadow banking business within her territory, The lessons learned from these two countries can provide Thailand a guideline to control such business in both internationally and domestically levels. In this research suggests that Financial Stability Board: FSB can assist Thailand monitoring the shadow banking business. Eventually, the research expect to contribute the knowledge to Thailand to the extent of how to develop Thai law in order to regulate such business effectively.
